Oklahoma County Business Permits: Unincorporated Areas Only, Structures of 200 Square Feet or More and a 0% County Sales Tax
If you searched for an oklahoma county business license, here is the short answer: Oklahoma County does not issue one. Counties in Oklahoma issue no business licenses. The Oklahoma County Planning Commission does issue building and land-use permits, but only for unincorporated areas, meaning land outside any city limits. Whether your business needs a city license, a county permit or neither depends on where the building sits, what the business does and whether it sells taxable goods.
This guide covers the permits, fees and agencies that apply in Oklahoma County. Where we could not verify a figure, we say so and tell you which agency to confirm it with.
Oklahoma County Does Not Issue a Business License
Oklahoma has no general state business license. The Oklahoma Department of Commerce notes that many common business activities need no state license at all. A business in Oklahoma County typically deals with up to four layers of requirements:
- Forming the entity with the Oklahoma Secretary of State.
- Registering with the Oklahoma Tax Commission (OkTAP) if the business collects sales tax or withholds tax.
- Licenses from the city, if the business is inside a city.
- Licenses from a state board for a regulated trade or profession, plus any county permit for work on unincorporated land.
Most owners in the county will only need the first two, plus whatever their city requires for their activity.
Inside a City, the City Governs
The first question to answer is whether your business sits inside a city limit. If it does, the city's rules apply, not the county's. That includes Oklahoma City, Edmond, Midwest City and every other city in the county. Keep these points in mind:
- Oklahoma City and Tulsa issue no general city business license. Each licenses specific activities, such as contractors, alcohol, mobile food vendors and short-term rentals.
- Some cities do charge a general or occupational license. Examples in Oklahoma include Bartlesville, Yukon, Sapulpa, Bixby, Tahlequah and Mustang. A city being large does not mean it charges a general license, so do not assume either way.
- Every city licenses its own activities separately. Edmond, Midwest City and other cities each have their own list, so confirm the current requirements with the city before you open.
If you are unsure of your city limits, check with the city clerk or the county before signing a lease.
What the County Permits Cover: Unincorporated Areas Only
The Oklahoma County Planning Commission, located at 320 Robert S. Kerr Ave. (phone 405-713-1361), issues the following permits for land outside city limits:
- Building permits
- Sign permits
- Lot split permits
- Commercial, industrial and office building permits
- Cell tower permits
- Stormwater permits
- Floodplain permits
- Fireworks stand permits
Oklahoma County and Tulsa County are the only counties that run zoning and building permits for unincorporated areas. If your site is inside a city, go to that city instead of the Planning Commission.
The 200 Square Foot Question
Oklahoma County's website says the county issues permits for any structure that is 200 square feet or larger. Ask the Planning Commission whether a structure of your size needs a permit, and whether a smaller accessory building, such as a storage shed, is treated differently.
Permit Fees
The Planning Commission's published forms are older, undated or from 2019, so they may not reflect current amounts. For commercial and office buildings, the forms show $0.25 per square foot with a $25 minimum, plus a $10 GIS fee, plus a state assessment. The state assessment amount is not stated on those forms. As an illustration only, a 4,000 square foot building at the published rate would come to $1,000 before the GIS fee and state assessment. Check with the Planning Commission for current amounts before you budget.
Food Businesses: Oklahoma City-County Health Department
Oklahoma County does not have a county health department. Food businesses in Oklahoma and Canadian counties are licensed through the Oklahoma City-County Health Department (OCCHD). If you plan to prepare or serve food, contact OCCHD early. Its food plan review fee is $425, according to the OCCHD form and the state fee schedule. Confirm the current figure with OCCHD before you submit.
Business Personal Property: The County Assessor
The Oklahoma County Assessor values business personal property, such as equipment and furniture. Owners report it on Form 901 by March 15. This is a filing with the Assessor's office, separate from your state entity and sales tax paperwork, so do not assume the Secretary of State or the Tax Commission will send you a reminder.
The County Clerk and Trade Names
The County Clerk handles UCC filings and land records. It does not handle DBAs. If your business operates under a name other than its legal name, you file a Trade Name Report with the Oklahoma Secretary of State:
- $25 to file, amend, transfer or withdraw a trade name
- No annual fee
- No newspaper publication requirement
- General partnerships file a Certificate of Partnership Fictitious Name for $50 instead
Sales Tax: 0% at the County Level
The Oklahoma Tax Commission (OTC) collects state, city and county sales tax on one return. The state rate is 4.5%. Oklahoma County's county sales tax rate is 0.00%, according to the OTC rate file as of August 2026, the lowest of any county in the state. The rate you charge in the county therefore depends on the city where the sale occurs.
| Component | Rate |
|---|---|
| State sales tax | 4.5% |
| Oklahoma County sales tax | 0.00% |
| City sales tax | Set by each city; varies |
| Combined rate | Runs from about 8.25% to above 10% across Oklahoma, depending on the city |
Outside any city in the county, the combined rate is the state rate plus the 0% county rate. Confirm the exact rate for your address with the Tax Commission, because local special taxes can apply. Since August 29, 2024, the state rate does not apply to most food and food ingredients, but local taxes still do.
A sales tax permit costs $20 for three years and is obtained through OkTAP at oktap.tax.ok.gov. General Tax Commission information is at oklahoma.gov/tax.html.
Forming the Entity With the Secretary of State
Forming the entity happens at the state level, regardless of county. The key figures are:
- LLC: Articles of Organization cost $100. The annual certificate costs $25 and is due on the anniversary of formation, with a 60-day grace period and no late fee. An LLC that misses the 60 days ceases to be in good standing. Reinstatement has no fee of its own, but you must file every delinquent annual certificate.
- Corporation: The Certificate of Incorporation fee is one-tenth of one percent of authorized capital stock, with a $50 minimum. Domestic for-profit corporations file no annual certificate with the Secretary of State.
- Name reservation: $10 holds a name for 60 days.
- Registered agent: Must have a physical Oklahoma street address, not a PO box. Changing the agent or office costs $25.
Oklahoma has no franchise tax for tax year 2024 and later. The franchise tax was repealed after tax year 2023. Before you choose a name, search existing entities at the Secretary of State business search, because names must be distinguishable from other entity, trade and reserved names on file.
Step by Step for an Oklahoma County Business
- Confirm whether the site is inside a city limit, and if so, which city.
- Form your entity with the Secretary of State. An LLC's Articles of Organization cost $100.
- Reserve the name for $10 if you need time to finish filing.
- File a Trade Name Report for $25 if you will operate under a name other than your legal name.
- Get a sales tax permit through OkTAP for $20 for three years if you sell taxable goods or withhold tax.
- Check your city for licenses covering your specific activity.
- If you plan building or signage work on unincorporated land, contact the Planning Commission at 405-713-1361.
- If the business serves food, contact OCCHD before opening.
- If you own business personal property, file Form 901 with the County Assessor by March 15.
- Calendar the LLC annual certificate for $25 on your formation anniversary.
Confirm Before You Commit
This guide is informational only. It is not legal or tax advice. Entity choice, sales tax treatment and permit obligations depend on your specific facts. Consult a qualified Oklahoma attorney or CPA before filing, especially if your property sits near a city boundary, you operate in more than one city, or you have employees.
Fees, thresholds and rates change. Confirm current figures with the agency that issues them before you rely on them.
